1. Purpose and scope

These GTC apply to all business relationships between RES ASSISTANCE (hereinafter 'the Provider') and its customers (hereinafter 'the Customer'), whether one-time services, framework contracts, subscriptions, recurring services or any other form of commercial collaboration.

Any order or subscription implies unreserved acceptance of these GTC, unless expressly agreed otherwise in writing. These GTC take precedence over any other Customer document, including their own general purchasing conditions. For framework contracts, specific terms may supplement these GTC.

2. Assistance services

🔒 No service will be performed without prior written agreement (email or framework contract signature). Acceptance of the GTC is deemed acquired upon order validation or contract signature. When the Provider acts as a subcontractor on behalf of a principal (insurer, fleet manager, etc.), the final beneficiary automatically accepts these GTC when benefiting from the service.

4. Prices and payment terms

  • Accepted payment methods: bank transfer, credit card, direct debit (for subscriptions), check (subject to conditions)

5. Performance conditions

Communicated intervention times are indicative and non-contractual, unless specific commitment provided in contract. They depend on traffic conditions, operator availability and location. The beneficiary undertakes to facilitate service execution. The Provider reserves the right to suspend execution in case of beneficiary non-compliance with obligations.

Cancellation (one-time services): Any validated request is due. In case of cancellation within 10 minutes following the first call, a 50% reduction will be granted. Beyond that, full amount will be invoiced. For framework contracts and subscriptions, refer to specific contract terms.

6. Customer obligations

  • Provide all information necessary for service execution (exact location, vehicle description, breakdown nature)
  • Be present or represented during intervention and facilitate vehicle access
  • Comply with safety instructions communicated by the Provider or operator
  • Pay invoices at agreed deadlines

7. Liability and warranties

Provider's liability is limited to direct, material and proven damages resulting from proven fault in service execution. The total amount of Provider's liability is capped at the invoiced service amount.

🚫 Expressly excluded from warranty: indirect damages (loss of profit, loss of clientele, loss of earnings), loss of use of entrusted property, damages resulting from force majeure, damages related to data or information, damages caused by the Customer or third party.

📋 NB: For framework contracts, refer to liability conditions defined in the specific contract.

8. Late and default payment

  • Late payment penalties: automatic application of a rate equal to 3 times the current legal interest rate
  • Flat-rate compensation for recovery costs: €40 (articles L441-3 and L441-6 of the Commercial Code)
  • In case of non-payment, the Provider reserves the right to suspend all ongoing services and refuse any new order

9. Force majeure

The Provider cannot be held responsible for non-performance or delay in service execution in case of force majeure event as defined by French case law: natural disaster, exceptional weather events (heavy snowfall, floods, storms, ice), general transport strike, epidemic, terrorist act, war, etc.

10. Termination and contract duration

For framework contracts and subscriptions, refer to duration, termination and renewal conditions defined in the specific contract. For one-time services, no duration commitment applies.

11. Personal data

In connection with the performance of the services and the management of the business relationship, RES ASSISTANCE processes personal data relating to the Customer, the beneficiary of the service and, where applicable, their contact persons.
